Terms of Service

These Terms are a binding agreement between you and Humanear, Inc. Please read them. If you are agreeing on behalf of a company, you confirm you have authority to bind that company.

1. Who we are

Bid Manager ("the Service") is operated by Humanear, Inc., an Iowa corporation ("Humanear," "we," "us"). Our address and contact details are at the end of this document. "You" and "Customer" mean the person or company using the Service.

2. Accounts and access

The Service uses passwordless sign-in. We email a one-time link to the address on your account, and clicking it signs you in. You are responsible for keeping access to that email account secure. Anyone who can read your email can sign in as you, so treat your inbox as your credential.

An account may have multiple members with different roles (owner or staff). Owners can invite and remove members and change company settings. You are responsible for the actions of everyone you grant access to, and for removing members who should no longer have access.

You must be at least 18 years old and able to form a binding contract to use the Service.

3. The service

Bid Manager helps general contractors manage subcontractor directories, create projects, split and host bid documents, send invitations to bid, and track responses. We may add, change, or remove features over time. If we make a change that materially reduces core functionality you rely on, we will make a reasonable effort to tell you in advance.

We aim for high availability but do not promise uninterrupted service. Planned maintenance, third-party outages, and factors outside our control can cause downtime.

4. Your data and content

"Customer Data" means everything you or your team put into the Service: contact lists, project details, drawings, specifications, addenda, bid amounts, and anything else you upload or enter.

You own your Customer Data. We do not claim ownership of it. You grant us a limited license to host, store, copy, transmit, display, and process it only as needed to operate and support the Service for you, including sending it to the subcontractors you choose to invite.

You are responsible for having the right to upload it. Project drawings and specifications are frequently copyrighted by the architect or engineer who prepared them, and are often licensed for a specific project and bidding process. By uploading documents you confirm you have the right to upload them and to distribute them to the subcontractors you invite.

We keep backups, but you should not treat the Service as your system of record or your only copy of anything important.

5. Subcontractor contact data and communications

This section matters, so we are stating it plainly. When you import or enter contact information for subcontractors, those are real people who have not signed up for our Service. In that relationship:

We send invitation and notification emails on your behalf, identified as coming from your company. We track whether those invitations were opened, viewed, and which documents were downloaded, and we show that to you. This is described in our Privacy Policy.

7. Fees, trials, and billing

Paid plans and pricing are described on our website. Where a free trial is offered, you may use the Service during the trial period without charge; we will tell you before any charge begins. Fees are billed in advance and are non-refundable except where required by law or where we state otherwise in writing. We may change pricing with at least 30 days' notice, effective at your next renewal. You are responsible for applicable taxes.

If an invoice is past due, we may suspend the account after giving you notice and a reasonable chance to fix it.

8. Intellectual property

The Service itself — the software, design, and brand — belongs to Humanear. These Terms do not transfer any of it to you. You may not copy, reverse engineer, or create derivative works from the Service.

If you send us feedback or suggestions, we may use them to improve the Service without obligation to you. This does not give us any rights in your Customer Data.

9. Term, suspension, and termination

You may stop using the Service and close your account at any time. We may suspend or terminate an account that materially breaches these Terms, that creates legal or security risk, or for prolonged non-payment. Where practical, we will give notice and a chance to cure first.

Your data after termination. You may export or request a copy of your Customer Data before you close your account, and for 30 days after, by contacting us. After that we may delete it. Deletion from active systems is prompt; residual copies may persist in encrypted backups for a limited period before being overwritten on our normal backup cycle.

10. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Bid Manager is a coordination tool, not a guarantee. We do not guarantee that an invitation will be delivered, opened, or answered, that a document split will be correct in every case, that any bid will be received by a deadline, or that any project outcome will occur. You are responsible for verifying your bid documents, your bid list, and your deadlines. Email delivery in particular depends on third parties and recipient mail systems that we do not control.

11. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost business, or lost bids, even if advised of the possibility.

Our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amounts you paid us for the Service in the 12 months before the event giving rise to the claim, or (b) one hundred US dollars ($100).

12. Indemnification

You will defend and indemnify Humanear against third-party claims arising from your Customer Data, your use of the Service, your communications with subcontractors, or your breach of these Terms — including claims that a document you uploaded infringed someone's rights, or that a message sent on your instruction violated communications law.

13. Changes to these terms

We may update these Terms. If a change is material, we will give notice by email or in the app before it takes effect. Continuing to use the Service after the effective date means you accept the updated Terms. The "last updated" date at the top always reflects the current version.

14. Governing law and disputes

These Terms are governed by the laws of the State of Iowa, without regard to its conflict-of-laws rules. The state and federal courts located in Woodbury County, Iowa have exclusive jurisdiction, and both parties consent to venue there. Before filing anything, please contact us — nearly everything is faster to resolve by email.
